This Agreement is made on day of , 20, at , Philippines, between:
THE OWNER: , of , contact number (the "Owner"); and
THE CONSIGNEE: , of , contact number (the "Consignee").
The Owner delivers the following goods to the Consignee for sale. Both parties confirm the quantity and condition at handover.

The goods remain the property of the Owner until they are sold to a buyer. The Consignee holds them on the Owner's behalf and does not own them. The Consignee must not pledge, mortgage, or use the goods as security for any debt.
The Consignee will sell the goods at the agreed retail price stated above. The Consignee keeps % of each sale (or ₱ per unit), and the balance belongs to the Owner.
The Consignee may not sell below the agreed price without the Owner's written or messaged consent.
The Consignee will pay the Owner's share within days of each sale, or on the day of each month for all sales in the previous month, by (e.g. GCash, cash, bank transfer).
The Consignee will keep a simple record of every sale — date, item, quantity, and price — and share it with the Owner on request.
The Consignee will store the goods in a clean, dry, secure place and take reasonable care of them.
If goods are lost, stolen, or damaged while in the Consignee's possession, the Consignee will pay the Owner % of the agreed retail price for the affected items, unless the loss was caused by fire, flood, typhoon, earthquake, or other event beyond the Consignee's reasonable control.
Fill this in carefully. It is the clause most disputes turn on.
This Agreement runs from the date above until , unless ended earlier under clause 7.
At the end of the period, the Consignee will return all unsold goods to the Owner in the condition received, fair wear and tear excepted. The cost of returning the goods will be paid by .
Either party may end this Agreement by giving days' notice to the other. On ending, the Consignee will return all unsold goods and pay any amounts owed to the Owner within days.
The Consignee is an independent seller, not an employee, partner, or agent of the Owner. Each party pays their own taxes and is responsible for their own business permits and obligations.
Bahandi by JMC Residence operates the platform on which the parties found each other and provided this template as a courtesy. Bahandi is not a party to this Agreement, holds no ownership of the goods, and is not liable for either party's performance, losses, or disputes arising from it.
This Agreement is governed by the laws of the Republic of the Philippines. The parties will first try in good faith to settle any dispute between themselves, and if that fails, through the Barangay conciliation process where applicable, before going to court.
This document is the whole agreement between the parties. Any change must be written down and signed by both.
